1. Agreement to Terms

By accessing or using the playrippl.cyou website, services, events, digital platforms, or community spaces (collectively, the "Services"), you agree to be bound by these Terms and Conditions. Please read them carefully.

If you do not agree to these Terms, you must discontinue your use of the Services immediately. These Terms constitute a legally binding agreement between you and playrippl.cyou LLC ("Company," "we," "us," or "our"), located at 247 Wavelength Ave, Suite 4B, Brooklyn, NY 11211, USA.

By using our Services, you represent that you are at least 18 years of age, or that you have parental or guardian consent if you are a minor in your jurisdiction.

2. Services & Offerings

playrippl.cyou provides entertainment experience design, live events, digital play environments, community programming, brand activations, and related consultancy services. Specific deliverables, timelines, and pricing for project-based engagements will be outlined in a separate service agreement or proposal signed by both parties.

We reserve the right to modify, suspend, or discontinue any Service at any time with reasonable notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of Services.

Descriptions of Services on our website are provided for informational purposes and may be updated at any time. Detailed scope of work will always be confirmed in writing prior to project commencement.

3. Accounts & Registration

Some aspects of our Services may require you to register for an account. You agree to provide accurate, complete, and current information, and to keep your account credentials secure. You are solely responsible for all activity that occurs under your account.

You must notify us immediately of any unauthorized use of your account at [email protected]. We cannot and will not be liable for any loss or damage arising from your failure to safeguard your credentials.

We reserve the right to suspend or terminate accounts that violate these Terms, our Community Rules, or that we determine, in our sole discretion, pose a risk to other users or the integrity of our platform.

4. User Conduct

You agree not to use our Services to:

• Harass, threaten, or harm any other person or entity.
• Post or transmit any content that is unlawful, fraudulent, defamatory, obscene, or otherwise objectionable.
• Impersonate any person or entity, or misrepresent your affiliation with any entity.
• Attempt to gain unauthorized access to any portion of our Services or related systems.
• Interfere with or disrupt the integrity or performance of our Services.
• Use automated tools (bots, scrapers, crawlers) to access or extract data from our Services without written permission.
• Engage in any commercial activity within our platforms without written consent.
• Violate any applicable local, national, or international law or regulation.

Violation of these conduct provisions may result in immediate account termination and, where appropriate, referral to relevant authorities.

5. Intellectual Property

All content on the playrippl.cyou website and platforms — including but not limited to text, graphics, logos, images, audio, video, experience designs, and software — is the exclusive property of playrippl.cyou LLC or its licensors and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content from our Services without our prior written consent.

Any content you submit, post, or share through our platforms grants playrippl.cyou a non-exclusive, worldwide, royalty-free license to use, reproduce, and display that content for the purpose of operating and promoting our Services.

6. Payments & Refunds

All fees for Services are as stated in your individual proposal, invoice, or service agreement. Payment is due in accordance with the terms outlined in that document. We accept major credit cards and ACH bank transfers.

For event bookings: a non-refundable deposit of 30% is required at time of booking. Cancellations made more than 30 days before an event date will receive a credit toward future Services. Cancellations within 30 days are non-refundable.

For digital subscriptions: you may cancel at any time, with access continuing until the end of your current billing period. No prorated refunds are issued for partial billing periods.

For custom project work: refund policies will be stated explicitly in your project agreement. Generally, work completed and delivered is non-refundable.

7. Limitation of Liability

To the maximum extent permitted by applicable law, playrippl.cyou LLC, its directors, employees, partners, agents, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or other intangible losses — resulting from:

• Your access to, use of, or inability to use our Services.
• Any conduct or content of third parties within our platforms.
• Unauthorized access to or alteration of your transmissions or data.
• Any other matter related to our Services.

Our total liability to you for all claims shall not exceed the greater of $100 USD or the amounts paid by you to playrippl.cyou in the three months preceding the claim.

8. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

playrippl.cyou does not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. You assume full responsibility for your use of the Services.

9. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, if you breach these Terms or for any other reason we deem appropriate in our sole discretion.

You may terminate your account at any time by contacting us at [email protected]. Upon termination, your right to use the Services immediately ceases.

Provisions of these Terms that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, USA, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Kings County, New York. You consent to the personal jurisdiction of those courts.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date at the top of this page and, where appropriate, sending an email notification.

Your continued use of the Services following any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
